Terms of Service

1. Acceptance of Terms

By accessing or using the CourseFlip platform ("Platform", "Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. These Terms apply to all users, including sellers, visitors, and students.

CourseFlip is operated by Anthria. These Terms constitute a legally binding agreement between you and CourseFlip. You must be at least 18 years old to create a seller account.

2. Platform Usage

CourseFlip provides a platform for sellers to host, distribute, and sell online courses. By using the Platform, you agree to:

  • Use the Platform only for lawful purposes and in compliance with all applicable laws.
  • Maintain the confidentiality of your account credentials and be responsible for all activity under your account.
  • Not attempt to gain unauthorized access to any part of the Platform or its systems.
  • Not engage in scraping, reverse engineering, or any activity that disrupts the Platform or other users.
  • Not create multiple accounts to circumvent restrictions or limitations.
  • Not impersonate any person or entity or misrepresent your affiliation with any person or entity.

We reserve the right to suspend or terminate accounts that violate these usage terms without prior notice.

3. Seller Responsibilities

Sellers using CourseFlip to distribute courses accept the following responsibilities:

  • You are solely responsible for the accuracy, legality, and quality of any course content you upload or distribute.
  • You must not upload, distribute, or sell content that infringes on third-party intellectual property rights.
  • You must not offer content that is illegal, harmful, harassing, defamatory, obscene, or otherwise objectionable.
  • You are responsible for providing adequate support and communication to your students.
  • You must comply with all applicable laws in your jurisdiction, including consumer protection and data privacy laws.
  • You must accurately represent what students will receive in a course before purchase.
  • You are responsible for handling any disputes with students regarding your own course content.

CourseFlip reserves the right to remove any course or content that violates these responsibilities or our content standards, at our sole discretion.

4. Student Purchases

Students purchase courses directly from individual sellers. CourseFlip acts as the platform facilitating these transactions, not as the seller of record. This means:

  • Each transaction is between the student and the seller whose course is being purchased.
  • Course access is granted to students upon confirmed payment.
  • Sellers set their own course prices and promotional terms.
  • CourseFlip does not guarantee the quality, accuracy, or fitness of any course sold on the platform.
  • Students access courses through the seller's branded storefront, powered by CourseFlip.

5. Payment Terms

CourseFlip operates on a transparent, seller-first payment model:

  • Sellers keep 100% of all student sales. CourseFlip does not take any revenue share or transaction fees from student purchases.
  • Sellers pay a flat monthly or annual subscription fee to access the CourseFlip platform.
  • Subscription fees are charged at the start of each billing period (monthly or annually, depending on your selected plan).
  • All payments are processed securely through Paddle. By subscribing, you authorize us to charge your payment method on a recurring basis.
  • Subscription prices are listed at courseflip.io and may be updated with 30 days' written notice.
  • Sellers collect payments from students directly via their own Stripe, PayPal, or Paddle accounts connected to the platform.

6. Refund Policy

Our refund terms for subscriptions and student course purchases are detailed in the Refund Policy. By using the Platform you agree to those terms.

7. Intellectual Property

Platform Courses: Pre-built courses available in the CourseFlip course library are owned by CourseFlip or its content partners. These courses are licensed to sellers for distribution on the Platform. Sellers may not reproduce, redistribute, or repurpose these courses outside of the CourseFlip platform.

Seller Courses: Any original course content created and uploaded by a seller remains the intellectual property of that seller. By uploading content to CourseFlip, you grant us a non-exclusive, worldwide license to host, store, display, and deliver your content solely for the purpose of operating the Platform and providing the Service to you and your students.

Platform IP: The CourseFlip name, logo, branding, software, and platform technology are the exclusive property of Anthria. You may not use our branding or trademarks without prior written permission.

8. Account Termination

By You: You may cancel your CourseFlip account at any time from your account settings. Cancellation stops future billing. You retain access until the end of your current billing period.

By Us: CourseFlip reserves the right to suspend or permanently terminate any account, at our sole discretion, for violations of these Terms, fraudulent activity, chargebacks, or any conduct we determine to be harmful to the Platform or other users. We will provide notice where reasonably practicable.

Upon termination, your access to the Platform, your storefront, and all associated course materials will be revoked. Student access to your courses may also be affected. We are not liable for any losses arising from account termination.

9. Limitation of Liability

The CourseFlip Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the fullest extent permitted by law, CourseFlip, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, loss of data, or service interruption, arising from your use of the Platform.

Our maximum aggregate liability to you for any claims arising from or related to these Terms or the Platform shall not exceed the total subscription fees you paid to CourseFlip in the three (3) months immediately preceding the claim.

10. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms shall be resolved through binding arbitration, except where prohibited by law.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Platform. Your continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.
